Corporate Governance GOVERNANCE STRUCTURE AND RESPONSIBILITIES COINDU’s governance structure includes: COINDU’S GOVERNANCE Board of Directors represents the highest level of executive management, with the responsibility of making strategic decisions and setting the overall direction of the company. Is made up of the majority shareholders of the group (Gruppo Mastrotto). BOARD OF DIRECTORS CEO (Chief Executive Officer) is responsible for global strategic leadership and defining the company’s vision. CEO Executive Committee oversees the strategic and operational management of the company, ensuring the effective execution of organizational goals. EXECUTIVE COMMITTEE Define long-term sustainability goals and objectives, in line with international frameworks such as the Sustainable Development Goals (SDGs) • Establishing the Group’s mission, core values and guiding principles. • Develop and implement policies and procedures that promote sustainable practices throughout the organization. • Integrate sustainability criteria into key business decisions, such as investments, risk management and supply chain operations. • Communicate COINDU’s sustainability performance and commitments transparently to stakeholders, including shareholders, employees and customers. • Regularly monitor, evaluate and report on sustainability performance in relation to established objectives. • Identify, assess and manage the environmental, social and governance (ESG) risks associated with business activities.
